Client Responsibilities

Intellectual Property

All work, concepts, media, graphics, branding, videos, educational materials, strategies, systems, and creative deliverables remain the intellectual property of Jeremy Melodious unless otherwise agreed in writing.

Limited License

Upon full payment, you may receive a limited, non-exclusive, non-transferable license for approved personal or business usage depending on the purchased service.

Ownership rights are not transferred unless explicitly stated in writing.

Promotional Usage Rights

Unless confidentiality is approved in writing before purchase, you grant Jeremy Melodious permission to:

Display completed work
Share projects publicly
Use deliverables in portfolios
Showcase content for marketing or promotional purposes
Feature approved content across websites, social platforms, presentations, and case studies

Platform & Third-Party Disclaimer

We are not responsible for:

Platform bans
Account restrictions
Algorithm changes
Reduced reach
Demonetization
Third-party outages
Policy changes on platforms such as Instagram, TikTok, Shopify, YouTube, or Meta

External platforms operate independently and remain outside our control.

Right to Refuse or Terminate Service

We reserve the right to refuse, cancel, restrict, suspend, or terminate services at our sole discretion, including situations involving:

Threats
Hate speech
Fraud concerns

Excessive chargeback behavior

Client Inactivity & Abandonment

Inactive Projects

If a client fails to respond or provide required materials for 7 consecutive days, a project may be considered inactive.

After 14 consecutive days of inactivity:

The project may be considered abandoned
Work may be archived or closed
Additional fees or repurchase requirements may apply

No refunds will be issued for abandoned projects.

Kill Fee & Early Termination Protection

If a project is canceled, delayed, abandoned, or disrupted due to client actions after work has begun:

Payment for completed work remains owed
A minimum 50% kill fee of the remaining project balance may apply where legally permitted

We reserve the right to:

Deliver partial work
Retain deposits
Invoice for completed labor and operational time

Limitation of Liability

To the fullest extent permitted by law, Jeremy Melodious shall not be liable for:

Indirect damages
Consequential damages
Lost profits
Revenue loss
Reputation harm
Emotional distress
Business interruption
Data loss
Platform-related losses

Maximum liability shall not exceed the total amount paid for the applicable service.

Electronic Acceptance
